    January 12, 2015

    The re-organizational meeting of the Denmark Town Board was held January 12, 2015 at the Town Municipal Building.  Supervisor Fleming called the meeting to order at 6:30pm with the Pledge of Allegiance, he then announced that the meeting was being recorded.

    Supervisor Fleming introduced Justin Hall.  Mr. Hall is interested in the Town of Denmark DCO Position.  He hopes to be appointed into this position in the Towns of Martinsburg and Greig.  Mr. Hall left the meeting at 6:34pm.

    Councilman Fazio made a motion to accept the amended agenda.  The motion was seconded by Councilman Thoma.

    Supervisor Fleming asked Mr. Gebo to update the Town Board on the recent developments of the proposed Copenhagen Wind Project. 

     

    Councilman Sullivan abstained from any and all discussion due to his involvement as a landowner in the project.

     

    Mr. Gebo produced a copy of a proposed financial term sheet dated Draft 9/18/14 for the PILOT agreement.  The proposal is for a 20 year PILOT to be administered by the Lewis County IDA and is based on the initial figure of $8400.00 per megawatt produced.  The agreement is that the first payment shall be made the January after the first March that the farm is in production.  There is a built in escalator of 2.5% annually after year 1.  The proposed split between taxing jurisdictions is Town 29.74%, School 37.97% and County 32.29% these percentages will most likely change after it is decided what tax year or average of years is to be used to calculate the base taxation rate.

     

     The agreement also cites an “Impact Payment” to be made to the Town of Denmark totaling $430,000.00 to be paid in two (2) installments: one at the time of the first PILOT Payment and the second at the time of the second PILOT Payment; this would be negotiated through a “Host Community Agreement”.

     

    After further discussion Councilman Fazio offered Resolution 1-2015.

    Resolution 1-2015: Town of Denmark acceptance of the COPENHAGEN WIND FARM, LLC PROJECT FINANCIAL TERM SHEET DRAFT 9/18/2014.

     

    The Resolution was seconded by Councilman Thoma.

    Mr. Gebo noted that he and Superintendant Mahar are still crafting the needed road agreement for the project.  Mr. Gebo left the meeting at 6:47pm.

     

    Legislator Brennan noted that the Lewis County IDA is still in negotiations with the Copenhagen Wind Farm.  He also noted that Carlowden Country Club has no agreement as of yet with Copenhagen Wind LLC.

    HIGHWAY BILLS:  Clerk Kunert read aloud Highway Abstract #609totaling $11,251.74.  Superintendent Mahar explained each claim.  Discussion was held on claim #8, Haun Welding Supply Inc. and Claim #15, The Store Computer Center, he had to completely replace his laptop computer after it was corrupted by a virus, and all of the data was lost.

    Councilman Sullivan made a motion, seconded by Councilman Thoma to pay Highway Abstract #609 as read.

    GENERAL BILLS:  Clerk Kunert read aloud General Fund Abstract #567 totaling $9,302.69 with a $1,049.65 paid prior claim bringing the total to $10,352.34.  Discussion was held about claim #10; Matthew Mahar was hired by Supervisor Fleming to shovel the roof of the municipal building after the major snowfall of the weekend (January 9-11).

     

    Councilman Thoma made a motion, seconded by Councilman Der to pay General Abstract #567 as read.

    COMPTROLLER’S REPORT:   Town Comptroller, Sharon V. Fleming, provided the Town Board with copies of the December 2014 Financial Report and of her monthly Comptrollers’ Report.  She also supplied each member with another copy of the 2015 Town of Denmark Budget.

     

    Discussion was held on Mrs. Fleming’s upcoming appointments with Nagy & Cronieser for their assistance with the W-2 and 1099’s.  She has additional appointment with them in February to complete the 2014 Annual Report to be submitted to the State.  Supervisor Fleming asked if the reserve is approximately $113,000.00.  Mrs. Fleming responded that she will not have that number available until the annual report is completed.

    ASSESSOR’S REPORT:  Assessor Vargulick was available to the Town Board for any questions they had, none were asked.

    LEGISLATOR’S REPORT:  Leg. Brennen reported that things are moving in the Lewis County efforts to develop a “shovel ready” industrial site.  A consulting group will be engaged by the County to bring more industry into the area.  The proposed bio-digester is on hold.

     

    Lewis County General’s performance is being reviewed.  The hospital has made another repayment to Lewis County. 

     

    The Lewis County Highway Department has begun an equipment purchasing plan that may include leasing equipment.  Supt. Mahar shared that 7 towns are working with Lewis County to develop an IMA and purchase a code reader that would be shared among them.  This would provide savings to the towns and counties for service calls just to read codes on equipment computers.

     

    SUPERVISOR’S REPORT:  Discussion was held about the DCO position.  Councilman Der made a motion to appoint Justin Hall as Town of Denmark DCO for an 11month term from February 1, 2015 – December 31, 2015.  The motion was seconded by Councilman Fazio.

    Legislator Brennen urged Supervisor Fleming to work with the Lewis County Supervisor Association to approach Lewis County as a group and encourage them to take over dog control.

     

    Supervisor Fleming reported that he has a meeting scheduled with Bob McKenzie to review the Emergency Management plan.  Most Towns are adopting the Lewis County plan.

     

    Discussion was held about the tax cap plan that the State wants in place by June.  Details of what needs to be included in this plan are still emerging.  Supervisor Fleming will continue to work with Kathy Amyot of the Tug Hill Commission to gather information.

     

    Discussion was held on the need of a cell phone for Justice Kiernan.  Councilman Thoma made a motion to furnish Justice Kiernan with a cell phone to be paid for with Justice Contractual funds.  The motion was seconded by Councilman Der.

    NEW BUSINESS:   Sally Carter was at the meeting to thank Superintendant Mahar for his placement of signs on Maple Ave alerting drivers to the presence of Amish buggies.  She commented that Superintendant Mahar was very pleasant to work with.

     

    Gerald Carter spoke briefly about his appreciation of the plowing crews.

     

    Resolution 2-2015:

    Councilman Sullivan offered Resolution 2-2015 to re-adopt the existing Town of Denmark policies regarding Policies and Procedures for Purchases, Workplace Violence Prevention Policy & Incident Reporting, Town of Denmark Sexual Harassment Policy, Town of Denmark Code of Ethics, Town of Denmark Equal Opportunity Policy and the Town of Denmark Americans with Disability Act Policy.   The Resolution was seconded by Councilman Fazio.

    Resolution 3-2015:

    Councilman Fazio offered Resolution 3-2015 that the Town of Denmark Board designates / approves the following:

    Supervisor Fleming to utilize Community Bank as depository for funds for Town Highway Accounts, Town General Accounts, Trust & Agency Accounts, and Town of Denmark Water District 1 Account with Comptroller Sharon Fleming and David Thoma as additional authorized signers; Clerk Prudence L. Kunert to utilize Community Bank for Town Clerk Account, Town Tax Collection Account and Town DECALS Account with Deputy Clerk Lori L. Wheeler authorized as a signer and depositor; Town Justice Taylor to utilize Community Bank as depository for Town Justice monies and Town Justice Kiernan to utilize Community Bank as depository for Town Justice monies.  The resolution was seconded by Supervisor Fleming.

    Resolution 4-2015:

    Councilman Thoma offered Resolution 4-2015 authorizing Supervisor Thomas Fleming to invest Town of Denmark monies in an interest bearing account as an investment measure.  The resolution was seconded by Councilman Der.

    Resolution 5-2015:

     Councilman Fazio offered a resolution establishing that the 2015 regular Town of Denmark Board meetings shall be held the 2nd Monday of each month at 6:30pm at the Town Municipal Building located at 3707 Roberts Road for every month except May 2015 when the meeting will be held on the 18th and November when the meeting will be held on the 5th.  The resolution was seconded by Councilman Sullivan.

    Resolution 6-2015:

    Councilman Fazio offered a resolution that the Lewis County Journal and Republican and / or the Watertown Daily Times shall be the official newspapers for the Town of Denmark.  The resolution was seconded by Councilman Der.

    Resolution 7-2015:

    Councilman Fazio offered a resolution that the Town of Denmark Board resolves that Town Employees be reimbursed at a rate of .45 per mile.  Councilman Der seconded the resolution.

    Resolution 8-2015: 

    Councilman Fazio offered a resolution that the Town of Denmark Town Board hereby resolves to approve a blanket undertaking bond covering all Town Employees as required by Section 25 of the Town Law; and it is further RESOLVED, that the Town Justices H. Raymond Taylor and Thomas Kiernan are specifically covered under said Blanket Undertaking, as required by Public Officers Section 11(2).  The resolution was seconded by Councilman Thoma.

    Councilman Der asked why the May meeting could not be held on May 11th.  Clerk Kunert explained that she will not be available that day due to her daughter’s college graduation.  Councilman Der asked why the Deputy Clerk could not handle the meeting if the Clerk was unavailable.  Ms. Kunert explained that there is no guarantee that the Deputy would be available.  She is seeking full-time employment and will be leaving if she finds it.  Councilman Der stated that the Town Board should be notified of any personnel changes.  Clerk Kunert responded that the appointment of the Deputy is done by the Clerk not the Town Board and that there has not been a change of personnel yet.   If and when she appoints a new deputy she will inform the Town Board as to who that person is.

     

    Clerk Kunert read aloud a letter from NYS Town Boards Association dated December 2014 Training School and Annual Meeting February 15-18, 2015

     

    HIGHWAY REPORT:  Discussion was held about replacing the loader.  Superintendant Maharrecommended the trade in of the 2012 624K loader to go toward the purchase of a 2014 624K Loader through Nortrax.  Discussion was held.  Councilman Fazio made a motion that Superintendant Mahar trade in of the 2012 624K loader to go toward the purchase of a 2014 624K Loader at a price of

    $12,081.08.  The motion was seconded by Councilman Thoma.

    Superintendant Mahar discussed with the Town Board a message that he received from a resident on the East Road.  The gentleman was verbally abusive and Superintendant Mahar contacted law enforcement to have them talk to the resident.

     

    OTHER BUSINESS:  Discussion was held on the surplus that is being held by NYS.  The NYS Highway Supt Association will be asking for an increase in CHIPS funding from this money.

     

    Discussion was held on giving a building key to Fred Wadsworth of the Planning Board so that he can open the building.  Mr. Wadsworth is the Vice-Chairman and it would be helpful for one of its members to have access in the event that Superintendant Mahar and ZEO Woodruff are unavailable to attend.  After discussion it was decided that he could have a key.

     

    There being no more business before the Town Board Councilman Thoma made a motion to adjourn the meeting.  The motion was seconded by Councilman Sullivan.
